1. Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the website operated by Plynetix LLC ("Plynetix", "we", "us", or "our"), including any content, materials, documentation, forms, and technical interfaces made available through or in connection with the website (collectively, the "Website").
Plynetix LLC is a company incorporated under the laws of Georgia. The Website is intended for business use and for informational and technical communication purposes. Plynetix does not provide consumer services through the Website.
By accessing, browsing, or using the Website, or by submitting any request, inquiry, or contact/access form through the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website.
If you access or use the Website on behalf of a legal entity (such as a company or other organization), you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and that entity.
These Terms apply only to the Website and related communications initiated through it. Any provision of products, services, API access, sandbox access, or other technical resources may be subject to additional terms, policies, or separate agreements, which may be provided by Plynetix at its sole discretion.
These Terms should be read together with our Privacy Policy, which describes how we collect and process information in connection with the Website. By using the Website, you also acknowledge that you have reviewed the Privacy Policy.
We may update these Terms from time to time. Unless otherwise stated, updated Terms become effective upon publication on the Website. Your continued use of the Website after an update constitutes acceptance of the revised Terms.
If any part of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire understanding between you and Plynetix regarding your use of the Website and supersede any prior or contemporaneous communications relating to the subject matter herein.
2. Scope of Services
2.1 Website Purpose and Nature of Offering
The Website is provided to present information about Plynetix and its technical capabilities, and to enable business users to initiate communication with Plynetix. Through the Website, Plynetix may make available, at its discretion:
product and capability descriptions;
technical overviews and high-level documentation;
contact, inquiry, and access request forms;
communications related to potential access to APIs, sandbox environments, or documentation;
updates, notices, and operational information related to the Website.
The Website is not a public marketplace, consumer platform, or financial service portal. It is intended for business-to-business informational and technical engagement.
2.2 Technical Infrastructure Services (If and When Provided)
Plynetix may provide or enable access to certain software, automation tools, and technical interfaces (including APIs or sandbox environments) that support technical workflows and integration between independent systems ("Technical Services"). Any such access is provided only:
upon explicit approval by Plynetix; and
subject to any additional policies, access rules, acceptable use restrictions, documentation terms, or separate agreements communicated by Plynetix.
Unless expressly agreed in writing, Plynetix does not assume any obligation to provide continuous access to Technical Services, and may modify, suspend, or discontinue any aspect of the Website or Technical Services as described in these Terms.
2.3 No Execution of Client Transactions or Obligations
Plynetix provides technical tools and infrastructure only. Plynetix does not, through the Website or Technical Services:
initiate, authorize, approve, or execute payments or transfers on behalf of users;
act as a bank, payment institution, electronic money institution, payment service provider, or money transmitter;
provide custody, holding, safeguarding, or administration of funds, digital assets, private keys, or payment instruments;
provide clearing, settlement, or transaction validation services.
Any actions taken by users, clients, partners, or third parties using systems that may integrate with Plynetix Technical Services are performed under their own responsibility and within their own contractual and regulatory frameworks.
2.4 No Advisory or Professional Services
Information provided on the Website is for general informational purposes. Plynetix does not provide legal, tax, financial, investment, or compliance advice through the Website. You are solely responsible for obtaining independent professional advice as necessary for your use case and jurisdiction.
2.5 No Guaranteed Outcomes
Plynetix does not guarantee that use of the Website or any Technical Services will produce specific business, operational, or financial outcomes. Any examples, descriptions, or references to potential use cases are illustrative and do not constitute a promise of performance, availability, or results.
2.6 Separate Agreements Prevail
If Plynetix and a user enter into a separate written agreement governing the provision of any Technical Services (including service agreements, API terms, statements of work, or other contracts), the terms of that separate agreement will prevail in case of conflict with these Terms, to the extent of such conflict.
3. No Financial Services Disclaimer
3.1 Status of Plynetix
Plynetix is a technology and software infrastructure provider. Plynetix does not operate as, and is not licensed or registered as, a bank, payment institution, electronic money institution, money transmitter, payment service provider, broker, exchange, virtual asset service provider (VASP), or any other regulated financial intermediary, unless expressly stated otherwise in a separate written agreement and to the extent permitted by applicable law.
3.2 No Custody and No Control of Assets
Plynetix does not receive, hold, safeguard, manage, administer, or control funds, digital assets, private keys, seed phrases, wallet credentials, payment instruments, or balances on behalf of users, clients, or any third parties.
Plynetix does not have discretionary authority over:
the destination of any funds or assets;
transaction authorization or approval;
the timing of settlement or transfer by third parties;
the availability, execution, or finality of any payment or transfer.
3.3 No Payment Execution, Clearing, or Settlement
Plynetix does not provide financial services, including but not limited to:
executing payments, remittances, or transfers;
clearing, settlement, or reconciliation as a financial service provider;
issuing, storing, or redeeming electronic money;
currency conversion or exchange services;
brokerage or dealing in financial instruments;
conducting or providing KYC, customer due diligence, transaction monitoring, sanctions screening, or AML controls for end-users.
Any reference on the Website to "routing", "payouts", "settlement", or similar concepts describes technical workflowsand does not constitute an offer by Plynetix to provide regulated financial services.
3.4 Third Parties and Independent Frameworks
Any financial transactions, transfers, settlements, or movements of funds that may be associated with systems integrated with Plynetix Technical Services are executed independently by third parties (such as banks, payment institutions, liquidity providers, or other service providers) under their own terms, policies, and regulatory obligations.
Plynetix is not responsible for, and does not control:
third-party onboarding requirements;
third-party compliance decisions;
transaction approvals, reversals, chargebacks, holds, blocks, or delays;
availability, performance, or outages of third-party systems;
actions taken by third parties in response to legal, regulatory, or compliance requirements.
3.5 No Guarantees Related to Financial Outcomes
Plynetix makes no representations or warranties regarding:
the success, timing, cost, or completion of any payment, transfer, or settlement performed by third parties;
the ability of any user, client, or partner to meet banking, compliance, or regulatory requirements;
acceptance of any transaction by third parties, including banks or payment networks.
Any decisions to engage in transactions or to integrate third-party financial services are made solely by you and/or the relevant third-party providers.
3.6 Responsibility of Users
You are solely responsible for ensuring that your use of the Website and any Technical Services complies with applicable laws, regulations, and contractual obligations, including any requirements related to financial services, AML/CFT, sanctions, data protection, and consumer protection that may apply to your business model.
Plynetix may, at its discretion, restrict access to the Website or Technical Services where it reasonably believes such restriction is necessary to protect security, integrity, or legal compliance, without assuming any liability for consequences of such restriction.
4. User Obligations
4.1 Lawful and Authorized Use
You must use the Website and any Technical Services in a lawful manner and only for legitimate business purposes. You represent and warrant that:
you have the legal capacity and authority to access and use the Website;
if acting on behalf of a legal entity, you are duly authorized to bind that entity;
your use will not violate any applicable laws, regulations, court orders, or contractual obligations.
4.2 Accurate Information and Cooperation
You agree to provide accurate, complete, and up-to-date information when submitting inquiries, requests, or access applications through the Website. You must promptly update or correct information if it becomes inaccurate or misleading.
Where necessary for security, reliability, or lawful operation, you agree to reasonably cooperate with Plynetix, including by providing clarifications related to technical requests, usage patterns, or suspected misuse.
4.3 Compliance Responsibilities
You are solely responsible for assessing and ensuring that your use of the Website and any Technical Services complies with all requirements applicable to your business, including (where relevant):
financial services, payment, and licensing requirements;
AML/CFT obligations, sanctions compliance, and screening requirements;
data protection and privacy requirements;
consumer protection and marketing requirements;
export controls and technology transfer restrictions.
Plynetix does not provide compliance, legal, tax, or regulatory advice. Any reliance on information from the Website is at your own risk.
4.4 Prohibited Activities
You must not (and must not attempt to) do any of the following:
use the Website or Technical Services for unlawful, fraudulent, deceptive, or abusive purposes;
interfere with, disrupt, degrade, or attempt to overload the Website or any systems connected to it (including via denial-of-service attempts);
attempt to gain unauthorized access to any accounts, infrastructure, code, documentation, or data;
probe, scan, test, or benchmark the Website or Technical Services in a manner that could compromise security or availability, unless expressly authorized in writing by Plynetix;
reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, or algorithms, except to the extent such restriction is prohibited by applicable law;
introduce malware, bots, scrapers, or other automated tools that access the Website without Plynetix’s permission;
use the Website or Technical Services to facilitate or conceal activities intended to evade legal, regulatory, sanctions, or compliance requirements;
misrepresent your identity, affiliation, authority, or the nature of your intended use.
4.5 Security and Access Controls
If Plynetix provides you with credentials, tokens, keys, access links, or other mechanisms to access Technical Services, you must:
keep such access credentials confidential and secure;
not share, sell, sublicense, or transfer access to third parties without Plynetix’s prior written consent;
promptly notify Plynetix of any suspected compromise, unauthorized use, or security incident relating to your access.
You are responsible for all activities performed using your access credentials.
4.6 Suspension-Triggering Conduct
Plynetix may suspend or restrict your access to the Website or Technical Services without prior notice if Plynetix reasonably believes that:
your use creates a security risk, legal risk, or operational risk;
you have violated these Terms or applicable policies;
access is required to be restricted to comply with applicable law or a lawful request.
Such suspension or restriction does not relieve you of responsibility for your actions and does not create any liability for Plynetix for resulting business interruption or losses.
5. Third-Party Services and Dependencies
5.1 Use of Third-Party Infrastructure
The Website and any Technical Services may rely on, integrate with, or be delivered through third-party infrastructure, software, networks, and service providers ("Third-Party Services"). Such Third-Party Services may include, for example:
cloud hosting and content delivery networks (CDNs);
monitoring, logging, and security tooling;
communication tools (email, messaging, ticketing);
external APIs, connectivity layers, or data sources used to support technical workflows.
Third-Party Services are provided by independent entities under their own terms, policies, and operational controls.
5.2 No Control Over Third Parties
Plynetix does not own, operate, or control Third-Party Services and is not responsible for their:
availability, uptime, performance, latency, or outages;
errors, defects, interruptions, or technical failures;
changes to features, pricing, policies, or access requirements;
security incidents, data loss events, or service disruptions occurring within third-party environments.
You acknowledge that the performance and availability of the Website and Technical Services may be affected by Third-Party Services beyond Plynetix’s reasonable control.
5.3 Third-Party Financial and Regulated Providers
Where your use case involves or references banks, payment institutions, liquidity providers, or other financial or regulated parties, you acknowledge that:
any onboarding, due diligence, approval, or compliance decisions are made solely by such third parties;
third parties may delay, block, reject, reverse, or otherwise restrict transactions or access for legal, regulatory, risk, or policy reasons;
third-party decisions may be made without notice and without explanation, as permitted by their obligations and policies.
Plynetix is not responsible for, and does not provide assurances regarding, the outcome of any third-party compliance or operational decision.
5.4 Links and External Resources
The Website may contain links to third-party websites or resources. Such links are provided for convenience only. Plynetix does not endorse, control, or assume responsibility for the content, accuracy, security, or practices of any third-party websites or resources.
Your access to and use of third-party websites and services is at your own risk and is governed by the applicable third-party terms and policies.
5.5 Integration Responsibility
If you integrate your systems with Technical Services provided by Plynetix, you are responsible for:
ensuring your integrations are technically secure and properly configured;
maintaining compatibility with third-party dependencies you choose to use;
implementing adequate testing, monitoring, and rollback procedures;
complying with all third-party terms applicable to your use.
Plynetix may provide guidance or documentation related to integrations, but you remain responsible for validating suitability for your environment and use case.
5.6 Force Majeure-Like Events Affecting Dependencies
Plynetix is not liable for failures or delays caused by events outside its reasonable control that impact Third-Party Services, including widespread infrastructure outages, network failures, cyber incidents affecting external providers, or governmental actions affecting availability of third-party systems.
6. Intellectual Property
6.1 Ownership
All rights, title, and interest in and to the Website and any materials made available through it (including, without limitation, text, design, layouts, graphics, logos, trademarks, software, code, scripts, interfaces, documentation, specifications, and any other content) are owned by or licensed to Plynetix and are protected by applicable intellectual property and other laws.
Except for the limited rights expressly granted under these Terms, nothing in these Terms transfers or assigns any intellectual property rights to you.
6.2 Limited License to Use
Subject to your compliance with these Terms, Plynetix grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website solely for your internal business purposes, including reviewing content and communicating with Plynetix.
If Plynetix provides you with access to documentation, sandbox environments, or APIs, such access is granted only for evaluation, development, and integration purposes consistent with the documentation and any additional terms provided by Plynetix.
6.3 Restrictions
You must not (and must not permit any third party to):
copy, reproduce, distribute, publicly display, sell, lease, sublicense, or otherwise exploit any part of the Website or its content except as expressly permitted by these Terms;
modify, adapt, translate, or create derivative works based on the Website, documentation, or any Plynetix materials, except as expressly authorized in writing;
remove, obscure, or alter any proprietary notices, trademarks, or copyright notices;
reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, algorithms, or trade secrets from the Website or any Technical Services, except to the extent such restriction is prohibited by applicable law;
access the Website in order to build or benchmark a competing product, service, or platform, or to copy any features, functions, or user experience elements.
6.4 Trademarks
"Plynetix" and all related names, logos, and marks are trademarks or service marks of Plynetix or its licensors. You may not use Plynetix trademarks without prior written permission, except to the extent required to refer to Plynetix in a factual manner.
6.5 Feedback
If you provide suggestions, ideas, feature requests, or other feedback regarding the Website or any Technical Services ("Feedback"), you grant Plynetix a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to use, modify, incorporate, and exploit such Feedback for any purpose, without compensation or obligation to you.
Feedback is provided voluntarily and does not create any confidentiality obligation for Plynetix unless otherwise agreed in writing.
6.6 Third-Party Materials
The Website may include or reference third-party materials or open-source components. Any such materials are owned by their respective rights holders and are governed by their applicable licenses and terms. You agree to comply with such third-party license terms where relevant to your use.
7. Availability and Service Modifications
7.1 "As Is" and "As Available"
The Website and any Technical Services are provided on an "as is" and "as available" basis. Plynetix does not guarantee that the Website or any Technical Services will be uninterrupted, error-free, secure, or continuously available.
Any performance descriptions, roadmaps, feature lists, or timelines referenced on the Website are provided for informational purposes only and do not constitute binding commitments unless expressly agreed in writing.
7.2 No Uptime Commitment Unless Separately Agreed
Unless Plynetix expressly enters into a separate written agreement (such as an SLA or service agreement) that defines availability commitments, Plynetix makes no guarantees regarding uptime, response times, latency, throughput, or error rates.
7.3 Maintenance and Updates
Plynetix may perform maintenance, updates, upgrades, patches, or other modifications to the Website or Technical Services. Such actions may result in temporary interruptions, degraded performance, or changes to functionality.
Where reasonably practicable, Plynetix may provide notice of scheduled maintenance; however, Plynetix is not required to do so and may perform emergency maintenance without notice to address security risks, reliability issues, or legal compliance requirements.
7.4 Changes, Suspension, and Discontinuation
Plynetix may, at any time and at its sole discretion:
modify, update, or remove any content, features, or functionality of the Website;
change access requirements, usage limits, or eligibility criteria for Technical Services;
suspend or restrict access to the Website or Technical Services (in whole or in part);
discontinue the Website or any Technical Services.
Such actions may be taken for operational, technical, security, legal, or business reasons. Plynetix is not liable for any impact on your operations, integrations, or expected outcomes resulting from such changes, suspension, or discontinuation.
7.5 Compatibility and Deprecation
Plynetix may introduce new versions of interfaces, APIs, or documentation and may deprecate or retire older versions. You are responsible for maintaining the compatibility of your systems with supported versions and for implementing updates as needed.
Plynetix may, but is not obligated to, provide deprecation notices or migration guidance. Any such guidance does not shift responsibility for implementation and testing to Plynetix.
7.6 Security-Driven Restrictions
To protect the integrity and security of the Website and Technical Services, Plynetix may implement technical controls such as rate limits, access throttling, IP blocking, credential rotation requirements, or additional authentication measures.
Plynetix may also restrict or suspend access where it reasonably believes that:
access presents a security threat or operational risk;
credentials are compromised or abused;
usage patterns indicate unauthorized automation, scraping, or misuse;
restriction is necessary to comply with law or a lawful request.
7.7 Reservation of Rights
Plynetix reserves all rights not expressly granted under these Terms. No failure or delay by Plynetix in exercising any right under these Terms constitutes a waiver of that right.
8. Limitation of Liability
8.1 General Limitation
To the maximum extent permitted by applicable law, Plynetix shall not be liable for any losses, damages, or claims arising out of or relating to your access to or use of (or inability to access or use) the Website or any Technical Services, whether based on contract, tort (including negligence), strict liability, statutory liability, or any other legal theory.
8.2 Exclusion of Indirect and Consequential Damages
To the maximum extent permitted by applicable law, Plynetix shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation:
loss of profits, revenue, or anticipated savings;
loss of business opportunities or goodwill;
interruption of business operations;
loss, corruption, or unavailability of data;
costs of procurement of substitute services or technology;
reputational damage.
This exclusion applies even if Plynetix has been advised of the possibility of such damages.
8.3 No Liability for Third-Party Actions and Dependencies
Plynetix is not liable for any losses, delays, blocks, failures, or decisions caused by or attributable to third parties, including without limitation:
cloud and infrastructure providers, telecommunications providers, and external networks;
banks, payment institutions, liquidity providers, or other financial or regulated providers;
third-party compliance decisions, holds, reversals, rejections, outages, or policy changes;
actions taken by third parties in response to legal, regulatory, or risk requirements.
8.4 No Liability for Financial Outcomes
You acknowledge that Plynetix does not provide financial services and does not control financial transactions or outcomes. Accordingly, to the maximum extent permitted by applicable law, Plynetix shall not be liable for any:
failed, delayed, rejected, reversed, or blocked payments or transfers performed by third parties;
foreign exchange movements, price volatility, fees, spreads, or other cost impacts;
compliance outcomes, onboarding decisions, or account restrictions imposed by third parties;
tax, regulatory, or reporting consequences resulting from your business activities or integrations.
8.5 Security and Availability Limitations
Plynetix does not warrant uninterrupted or error-free operation and is not liable for losses arising from:
service interruptions, downtime, degraded performance, or maintenance;
cyber incidents, unauthorized access attempts, or malicious activity, except to the extent caused by Plynetix’s gross negligence or willful misconduct (where such limitation is permitted by law);
data loss or corruption, where you have failed to implement reasonable backup and security measures.
8.6 Liability Cap (If Applicable)
To the extent liability cannot be excluded under applicable law, Plynetix’s total aggregate liability arising out of or relating to these Terms shall not exceed the lesser of:
the amounts paid by you to Plynetix for the relevant Technical Services in the three (3) months preceding the event giving rise to the claim; or
USD 100.
If you have not paid any fees to Plynetix, you agree that Plynetix’s total aggregate liability shall be limited to USD 100.
8.7 Basis of the Bargain
You acknowledge that the limitations and exclusions in this Section 8 are fundamental elements of the agreement between you and Plynetix and that Plynetix would not be able to provide the Website or Technical Services on an economically reasonable basis without such limitations.
8.8 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such cases, Plynetix’s liability will be limited to the maximum extent permitted by applicable law.
9. Indemnification
9.1 Indemnity Obligation
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Plynetix, its affiliates, and its respective directors, officers, employees, contractors, and agents (collectively, "Indemnified Parties") from and against any and all third-party claims, demands, actions, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to:
your access to or use of the Website or any Technical Services;
your integration, implementation, or operation of systems using Technical Services;
your violation of these Terms or any applicable policies or documentation requirements;
your breach of applicable laws or regulations (including AML/CFT, sanctions, licensing, data protection, or consumer protection requirements applicable to your business);
any content, data, instructions, or materials submitted, transmitted, or processed by you through the Website or in connection with Technical Services;
allegations that your business activities, use case, or integrations infringe, misappropriate, or violate the rights of a third party.
9.2 Cooperation and Control of Defense
Plynetix may, at its option, assume control of the defense and settlement of any claim subject to indemnification. You agree to cooperate reasonably with Plynetix in the defense of such claim, including by providing relevant information and assistance.
You may not settle any claim in a manner that imposes any obligation, liability, admission, or restriction on Plynetix without Plynetix’s prior written consent.
9.3 Exclusions
Your indemnification obligations do not apply to the extent a claim is finally determined by a court of competent jurisdiction to have been caused solely by Plynetix’s gross negligence or willful misconduct, where such exclusion is permitted by applicable law.
9.4 Survival
Your indemnification obligations under this Section 9 survive termination or expiration of these Terms and continue for as long as the relevant claim could reasonably be asserted.
10. Termination
10.1 Term and Applicability
These Terms apply from the moment you first access or use the Website and remain in effect while you continue to access or use the Website or any Technical Services, unless terminated in accordance with this Section 10.
10.2 Termination or Suspension by Plynetix
Plynetix may, at any time and at its sole discretion, suspend, restrict, or terminate your access to the Website or any Technical Services (in whole or in part), with or without notice, if Plynetix reasonably believes that:
you have violated these Terms or any applicable policies, documentation terms, or access rules;
your activity poses a security risk, operational risk, reputational risk, or legal/compliance risk;
you are using the Website or Technical Services for unlawful, abusive, deceptive, or prohibited purposes;
access must be restricted to comply with applicable law, regulation, court order, or lawful request by a competent authority;
continued access may compromise the integrity, availability, or security of Plynetix systems or third-party dependencies.
Plynetix may also implement technical measures (including rate limiting, IP blocking, credential revocation, or access throttling) as part of a suspension or restriction.
10.3 Termination by You
You may stop using the Website at any time. If you have been granted access to Technical Services, you may request termination of such access by contacting Plynetix using the contact information provided in these Terms or applicable documentation.
Termination by you does not relieve you of responsibility for activities performed prior to termination, including obligations related to confidentiality of access credentials and compliance with these Terms.
10.4 Effect of Termination
Upon termination or suspension:
your right to access and use the Website and any Technical Services immediately ceases to the extent specified by Plynetix;
you must promptly cease any use of Technical Services and any Plynetix-provided credentials, access tokens, or keys;
Plynetix may revoke or disable access credentials and may block access to related resources;
Plynetix may, but is not obligated to, delete or anonymize certain information in accordance with the Privacy Policy and applicable law.
10.5 No Liability for Termination
To the maximum extent permitted by applicable law, Plynetix shall not be liable for any losses, damages, costs, or claims arising from or relating to any suspension, restriction, or termination of access, including any resulting business interruption, loss of data, or inability to access third-party services.
10.6 Survival
The following sections survive termination or expiration of these Terms to the extent necessary to give them effect: Intellectual Property, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and any other provisions that by their nature should survive (including any restrictions on misuse, reverse engineering, and confidentiality of access credentials).
11. Governing Law and Jurisdiction
11.1 Governing Law
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any Technical Services (including their formation, interpretation, performance, breach, termination, or validity), shall be governed by and construed in accordance with the laws of Georgia, without regard to conflict of law principles that would result in the application of another jurisdiction’s laws.
11.2 Jurisdiction and Venue
Unless Plynetix and you have agreed otherwise in a separate written agreement, the parties agree that the courts of Georgia shall have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms, the Website, or any Technical Services.
To the extent permitted by applicable law, you agree to submit to the personal jurisdiction of such courts and waive any objection based on inconvenient forum or improper venue.
11.3 Injunctive and Equitable Relief
